It's actually Bass SP and he's indeed in Black Earth 2.

As Alilatias stated, Megaman DS must be defeated in order to encounter him, jacking out will be required once the DS is defeated. On a side note, the only way you can gain the last giga chip(Black Aura/Delta Ray) is to defeat him with an S-Rank.

As far as I can remember, an Omega version with 4000 HP did exist, but I think it was part of some Japanese event only thing (and I'm not sure if it was in this game or the 5th game).

You're correct, Bass Omega(4000 HP) is in the 5th installment - the DS version more likely.

Ok, here is how to get to Black Earth 1: First off: have all souls and Standard Chips, delete First Version of Bass. Then he will say something about the area where Dark Power is held or something like that. What he means by that is going to that Black Portal you seen, but you'll need Mega and Giga Chips that have "Evil Chip!" on it. Once you have them, enter the portal. You'll be in Black Earth 1. Then you'll see a gate blocking the way to Black Earth 2. I think you'll need all DS or SP Navi Chips. Once you have them all, go on, you'll see Mirriors, each has a DS Navi that you got the soul from, beat them all and you'll battle MegaManDS once again, you'll get two Programs. And I think BassΩ should appear, but I couldn't find him yet.

He's in Black Earth 2 as a random boss once you've completed those requirements. Finding him will get repetitive but you'll eventually find him. Also, using Sneakrun helps.
